1. Acceptance of these terms

By accessing or using morlarealty.com (the "site"), you agree to these Terms of Service. If you do not agree, do not use the site. If you use the site on behalf of an entity, you represent that you are authorized to bind that entity.

2. Who operates this site

The site is published by Morla Realty Holdings, LLC, which owns and operates real property, and Morla Realty Investments, LLC, which acquires and improves real property. As used here, "we," "us," and "our" refer to the company whose business is at issue in the particular matter, and not to both companies jointly.

3. Informational purpose only

The site is provided for general information. Property descriptions, photographs, availability, rents, prices, and terms are subject to change or withdrawal without notice and may contain errors or omissions. Nothing on the site is an offer, a commitment, or a binding agreement of any kind. No lease, purchase agreement, tenancy, or other contract is formed by your use of the site, by submitting a form, or by exchanging email, and none is formed until a written agreement is signed by an authorized representative of the specific company involved.

Neither company is a law firm, and neither provides legal services or legal advice through the site or otherwise. Any affiliation, common ownership, or shared business address with a law practice does not make that practice a party to your matter and does not create an attorney-client relationship. Nothing on the site is legal advice or an offer to provide legal representation. Consult your own counsel about your situation.

5. No brokerage relationship

The companies own, acquire, manage, and sell real property for their own account. Nothing on the site creates a brokerage relationship under chapter 475, Florida Statutes, or makes either company your agent, broker, or fiduciary, and neither company owes you the duties of a licensed real estate licensee by reason of your use of the site. Where a licensed real estate broker or sales associate is involved in a transaction, that licensee will be identified in the applicable written agreement.

6. No offer of securities

Nothing on the site is an offer to sell, or the solicitation of an offer to buy, any security, membership interest, or investment product, and nothing on the site is investment, tax, or financial advice. Any such offer would be made only to qualified persons through definitive written offering documents. Past results do not guarantee future performance, and no return is promised or implied.

7. Fair housing

We do business in accordance with the federal Fair Housing Act, 42 U.S.C. § 3601 et seq., and the Florida Fair Housing Act, chapter 760, part II, Florida Statutes. We do not discriminate against any person because of race, color, religion, sex, handicap, familial status, or national origin. Reasonable accommodations and modifications are available on request.

8. Permitted use

You may view, download, and print pages of the site for your personal, non-commercial use. You agree not to: use the site for any unlawful purpose or in violation of these terms; submit false, misleading, or fraudulent information; impersonate another person; harvest or scrape content, email addresses, or data by automated means; introduce malware or attempt to gain unauthorized access to the site or any related system; interfere with or disrupt the site's operation; copy, reproduce, republish, frame, or create derivative works from the site's content except as these terms allow; or use the site's content for any commercial purpose without our prior written permission. We may suspend or terminate access to anyone for any reason, with or without notice.

9. What you send us

You are responsible for the accuracy of what you submit through the site. Do not send confidential, privileged, or sensitive information — including Social Security numbers, financial account numbers, or images of identification — through the contact form or by unencrypted email. Submitting information does not create any tenancy, contractual, agency, or professional relationship, and it does not obligate us to respond or to act. Any personal information you provide is handled under our Privacy Policy. If you send us an idea, suggestion, or other unsolicited material about our business, you grant us a non-exclusive, royalty-free, perpetual, worldwide license to use it without obligation or compensation to you.

10. Intellectual property

The site and its contents — text, graphics, photographs, layout, design, and code — are owned by the companies or their licensors and are protected by United States copyright and trademark law. "Morla Realty," the Morla Realty logo, and the associated marks are used by each company with the permission of their owner, and that shared use does not transfer, assign, or create any joint ownership of the marks or merge the companies. Nothing on the site grants any license or right to use any mark without prior written permission.

11. Tenant portal and payments

The tenant portal is operated by TurboTenant, an independent third party, under its own terms of use and privacy policy, which you accept when you use it. We do not control the portal and are not responsible for its availability, accuracy, security, or handling of your information, or for any delay, error, or failure in a payment processed through it. Your obligation to pay rent and other amounts, and the timing and manner of payment, are governed by your lease. A portal outage does not excuse or extend any obligation under your lease unless we agree otherwise in writing. For a maintenance emergency, call us rather than using the portal.

12. Third-party sites

The site links to sites and services we do not operate. Those links are provided for convenience and are not endorsements. We do not control and are not responsible for the content, products, services, security, or practices of any third-party site, and your use of it is governed by that site's own terms.

13. Electronic communications

When you use the site or send us email, you consent to receive communications from us electronically, and you agree that electronic communications, agreements, and signatures satisfy any legal requirement of a writing or signature to the extent permitted by the federal E-SIGN Act, 15 U.S.C. § 7001 et seq., and the Uniform Electronic Transactions Act, chapter 668, part I, Florida Statutes. This section does not change any notice requirement in your lease or other written agreement, or any notice requirement of chapter 83, Florida Statutes.

14. Disclaimer of warranties

The site and all content on it are provided "as is" and "as available," without warranty of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. We do not warrant that the site will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the site or its server is free of harmful components.

15. Limitation of liability

To the fullest extent permitted by law, neither company, nor its members, managers, officers, employees, or agents, is liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or relating to your use of or inability to use the site, whether based in contract, tort, strict liability, or any other theory, and whether or not we were advised of the possibility of such damages. The total liability of either company for all claims relating to the site will not exceed one hundred dollars ($100.00). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing in this section limits any obligation under a signed lease or contract, or any liability that cannot be limited by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless the company involved, and its members, managers, officers, employees, and agents, from any claim, demand, loss, liability, damage, cost, or expense, including reasonable attorney's fees, arising out of your misuse of the site, your violation of these terms, or your violation of any law or of the rights of any third party.

17. Governing law and venue

These terms and any dispute arising out of or relating to them or to the site are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. You and the company involved consent to the exclusive jurisdiction and venue of the state courts located in Hillsborough County, Florida, and the United States District Court for the Middle District of Florida, Tampa Division, and waive any objection based on forum or inconvenient venue. This section does not apply to any dispute governed by a venue or dispute-resolution provision in a signed lease or contract, which controls as to that dispute.

18. Changes to these terms

We may revise these terms at any time by posting a revised version, which takes effect when posted. The effective date at the top of the page shows the current version. Your continued use of the site after a change means you accept the revised terms.

19. General

If any provision of these terms is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver of it. These terms, together with the Privacy Policy, are the entire agreement between you and the company involved regarding the site, and they do not modify any signed lease, purchase agreement, or other written contract, which controls in the event of a conflict. You may not assign these terms; either company may assign them in connection with a transfer of its business or assets. Sections 3 through 6 and 14 through 17 survive any termination of your use of the site.
